These Master Terms and Conditions ("Master Terms") govern access to and use of all services, software, applications, and platforms provided by SuperNomics (collectively, the "Services"). Certain products may have Product Addenda that supplement these Master Terms. If there is a conflict between these Master Terms and a Product Addendum, the Product Addendum controls.

1. Definitions

  • Authorized Users – employees, contractors, and agents authorized to access Services.
  • Confidential Information – non-public business and technical information, Customer Data, etc.
  • Customer – the entity or individual agreeing to these Terms.
  • Customer Data – data/content/files provided to or generated through the Services.
  • Documentation – user guides, technical specifications, and product docs.
  • Order Form – document specifying Services, fees, and commercial terms.
  • Privileged Materials – attorney-client/work product protected data.
  • Services – all SuperNomics software platforms, applications, and services.

2. Scope and Acceptance

  • Applies to all Services, including Sque.
  • Acceptance by accessing Services, creating an account, or executing an Order Form.
  • Terms may be updated with 30 days' notice.

3. Access and License

  • Limited, non-exclusive, revocable license during subscription.
  • Customer responsible for all account activity.
  • Restrictions: no reverse engineering, unlawful use, or unauthorized redistribution.

4. Customer Data, Privacy, AI Processing

  • Customer retains ownership of Customer Data.
  • We process data only to provide Services, ensure security, comply with law, or create anonymized analytics.
  • Governed by the DPA.
  • Certain features may use third-party AI providers (e.g., OpenAI).
  • Customer Data is not used for model training without explicit opt-in.
  • Safeguards apply to privileged materials.

5. Security, Incidents, Compliance

  • Enterprise security program aligned with SOC 2; SOC 2 Type II audit underway.
  • Incident notifications within 72 hours where required.
  • Subprocessors listed at Subprocessors.
  • Cookie practices: Cookie Notice.
  • Privacy policy: Privacy Policy.

6. Subscriptions, Term, Fees

  • Services sold as subscriptions.
  • Auto-renew unless terminated with 30 days' notice.
  • Fees due in advance, non-refundable except by law.

7. Confidentiality

  • Each party must protect the other's confidential information with reasonable care.

8. Warranties, Disclaimers

  • Services warranted to perform substantially as documented.
  • Otherwise provided "as is."
  • No warranty on AI-generated outputs.

9. Indemnification

  • SuperNomics indemnifies for IP infringement claims.
  • Customer indemnifies for violations of law or Terms.

10. Limitation of Liability

  • Liability capped to fees paid in previous 12 months.
  • Excludes indemnification, confidentiality breaches, willful misconduct, or data security breaches.

11. Termination and Data Handling

  • Either party may terminate for cause or convenience.
  • 90-day export window for Customer Data after termination.
  • Data deleted after export window (backups within ~90 days).

12. Other Provisions

  • Beta services are "as is."
  • U.S. Government use is as "commercial items."
  • Publicity rights (opt-out available).
  • Delaware law governs; venue in San Francisco, CA.
  • Terms may not be assigned without consent (except for M&A).
